Make corporate decisions and sustain governing contributions
Use corporate governance to establish relevant rights and powers, arrange governing contributions and perform corporate acts. Financial attractiveness, a recommendation and corporate authority answer different questions. The connected interested-party example follows advice, disclosure and eligible participation into a decision; start with already sufficient contributions when they are available.
| Your question | Open | What you can obtain |
|---|---|---|
| Which corporation, proposed act and rules matter here? | CGOV.1 - Frame the Corporate Matter and Its Governing Rules | A bounded corporate matter and the provisions that change its answer. |
| Does an ownership percentage establish votes or control? | CGOV.2 - Distinguish Shareholding, Voting Power, and Control | The relevant holding, economic right, voting entitlement or control relation, with the appropriate calculation. |
| Who can appoint, remove, approve or sign? | CGOV.3 - Establish Authority for Corporate Appointments, Removals, and Decisions | The applicable power and its conditions. A sufficient existing delegation can answer the question. |
| What contribution should the board and executives each provide? | CGOV.4 - Design Board and Executive Contributions | A design for the needed work and its result exchanges under the corporate powers. |
| Do we need a committee, and can its findings be used? | CGOV.5 - Choose an Arrangement for Independent Corporate Oversight, with or without a Committee | A design for a permitted oversight arrangement, with its remit, participants, support and receiving use. |
| Does a director’s or owner’s interest affect this matter? | CGOV.6 - Expose Conflicts and Related-Party Interests | The relevant interest, conflict conditions and required safeguards. |
| What independent review or participation arrangement is needed? | CGOV.7 - Arrange Independent Review and a Disinterested Corporate Decision | Usable review findings and an eligible decision arrangement, retaining the separate corporate act. |
| What information is owed, to whom and when? | CGOV.8 - Provide Corporate Information under Applicable Rights and Duties | Required content provided through usable access, with confidentiality requirements and the limits of specialist conclusions preserved. |
| Will the proposed control actually operate in the work? | CGOV.9 - Establish and Operate Internal Control | A control and the means to operate it, with supported effectiveness and its limits kept distinct. |
| What can this audit or assurance conclusion support? | CGOV.10 - Obtain and Use a Scoped Audit or Assurance Conclusion for Corporate Governance | A contribution qualified by its subject, criteria, period, provider and limitations. |
| Has the corporate decision been made, or only described? | CGOV.11 - Make and Record a Corporate Decision | The act performed through the applicable procedure and its proper record, with remaining conditions clear. |
| How can a minority holder protect or exercise a right? | CGOV.12 - Protect Corporate Minority Holders’ Rights and Enable Contest or Exit | A timely use of an available protection, exercise, contest or exit route under its actual conditions. |
| What response should follow a performance exception? | CGOV.13 - Monitor Corporate Performance and Require an Account | An account against the undertaking, an authorized response and follow-up on its consequence. |
| Should a governing instrument or arrangement change, and how? | CGOV.14 - Decide Whether and How to Change Corporate Governing Instruments and Arrangements | A supported decision to retain the arrangement or repair its operation, or a revision made effective through the current amendment powers and required acts, with implementation addressed. |
| Should we reuse, adapt or replace a way of doing governance work? | CGOV.15 - Decide Whether and How to Change Corporate-Governance Methods | A compared method choice, retained or changed within the available powers, directed at the working difficulty. |
| Why does a correct local action fail to constitute the larger work? | CGOV.16 - Reconcile Constituent and Encompassing Corporate Governance Work | How the larger work is performed through its constituent actions, and a correction to an action, its conditions or the explanation of that connection. |
| How can useful governance methods remain obtainable across succession? | CGOV.17 - Deliberately Continue and Change Corporate-Governance Culture | The learning, access, assistance or practice change needed for receiving work, with actual use and retention distinguished. |
A financial recommendation can inform the authorized participants’ judgement; its valuation does not confer the power to commit the corporation. Use CGOV.3 when that power is unresolved and CGOV.11 when the assignment includes making the act. An adequate existing delegation can permit ordinary action without another board decision. Keep the recommendation’s material assumptions in the receiving decision.
Putting a corporate decision into effect may still require resources and support. Use OPS.11 for unresolved dependencies among operating contributions. Use ADM.9 when a required administrative condition, such as permitted access, is not yet usable. Allocating cases within existing responsibilities and powers remains an operating question. A change to organizational responsibilities or decision rights calls for the appropriate organizational change; neither additional participants nor a new case alone implies that change.
